Terms & Conditions
1. Definitions
"Frank Group" refers to Frank Group ApS.
"Client" means the party requesting services from Frank Group.
"Services" means survey, inspection, advisory or related services provided by Frank Group.
"Report" means any written or verbal findings, assessments or statements provided by Frank Group.
"Fees" means the agreed charges for Services.
2. Scope of Services
Services are provided on a case-by-case basis and in accordance with instructions agreed between Frank Group and the Client.
Any changes to scope must be agreed in writing.
3. Instructions
The Client shall provide clear and timely instructions and ensure access to relevant cargo, premises, vessels or documentation as required.
Frank Group shall not be liable for consequences arising from incomplete, inaccurate or delayed instructions.
4. Fees and Payment
Services are charged on an hourly basis, fixed fee or as otherwise agreed.
Invoices are payable within 14 days from invoice date, unless otherwise agreed in writing.
Frank Group reserves the right to charge interest on overdue payments in accordance with applicable Danish law.
5. Expenses
Reasonable expenses including travel, accommodation and external costs are charged at cost unless otherwise agreed.
6. Reporting
Reports are based on observations and information available at the time of attendance.
Reports are prepared solely for the use of the Client and may not be relied upon by third parties without prior written consent.
7. Liability
Frank Group shall exercise reasonable care and skill in the performance of the Services.
Frank Group shall not be liable for any indirect or consequential loss, including but not limited to loss of profit, loss of business, delay or business interruption.
Frank Group's total liability for any claim, whether arising in contract, tort (including negligence) or otherwise, shall be limited to the lesser of five times the Fees charged for the relevant assignment or DKK 1,000,000.
8. Indemnity
The Client agrees to indemnify and hold Frank Group harmless against any claims arising from third parties in connection with the Services, except where caused by proven negligence.
9. Confidentiality
Frank Group shall treat all information received from the Client as confidential and shall not disclose such information to third parties without consent, unless required by law.
10. Subcontracting
Frank Group reserves the right to engage subcontractors or external specialists where required. Frank Group remains responsible for the delivery of Services.
11. Time Bar
Any claim against Frank Group must be submitted in writing within 12 months from the date of the relevant Report. After this period, all claims are deemed waived.
12. Force Majeure
Frank Group shall not be liable for failure or delay caused by circumstances beyond reasonable control.
13. Governing Law and Jurisdiction
These Terms & Conditions are governed by Danish law.
Any disputes shall be subject to the exclusive jurisdiction of the Danish courts.
